Cláusula 1. Partes y aceptación

1.1. Estos Términos y Condiciones (los "Términos") rigen la relación entre bintell ("bintell" o el "Prestador"), identificado en la Cláusula 12, y la persona física o moral que contrata los Servicios (el "Cliente").

1.2. El Cliente acepta estos Términos al ocurrir cualquiera de los siguientes: marcar la casilla de aceptación en app.bintell.ai o en la forma de onboarding, firmar una orden de servicio o propuesta que los incorpore, realizar el primer pago, o usar los Servicios. Las partes reconocen que la aceptación por medios electrónicos tiene plena validez conforme a los artículos 89 a 114 del Código de Comercio y al artículo 1803 del Código Civil Federal.

1.3. Quien acepta en nombre de una empresa declara tener facultades suficientes para obligarla. Si no las tiene, responde personalmente.

1.4. El Cliente declara que contrata los Servicios para integrarlos a su actividad comercial o profesional, y no como consumidor final.

1.5. Si existe una orden de servicio o propuesta firmada, esta prevalece sobre los Términos solo en lo que expresamente contradiga. En todo lo demás, aplican estos Términos.

Cláusula 2. Definiciones

  • Servicios: la configuración, implementación y operación de agentes de voz con inteligencia artificial descritos en la Cláusula 3 y en el plan contratado.
  • Agente: el sistema de inteligencia artificial que contesta, conversa, agenda o transfiere llamadas a nombre del Cliente.
  • Plan: el paquete contratado (por ejemplo, Respaldo/Backup o Schedule) con su precio y alcance.
  • Proveedores Tecnológicos: los terceros cuya infraestructura usa bintell o el Cliente para prestar o recibir los Servicios, incluyendo, de forma enunciativa, Retell AI, Twilio, CloudTalk, Cal.com, Google, Meta, proveedores de modelos de lenguaje, de síntesis y reconocimiento de voz, de hospedaje y de telecomunicaciones.
  • Llamantes: las personas que llaman o reciben llamadas del Agente; son clientes o prospectos del Cliente, no de bintell.
  • Datos del Cliente: la información que el Cliente entrega o que se genera al operar el Agente, incluyendo grabaciones, transcripciones, resúmenes, citas y datos de Llamantes.
  • Credenciales: cuentas, llaves API, identificadores (como el Account SID de Twilio) y accesos que el Cliente proporciona.
  • Implementación: la puesta en marcha inicial del Agente, incluida la junta de kickoff.

Cláusula 3. Objeto y alcance de los Servicios

3.1. Lo único que bintell se obliga a entregar. bintell se obliga a implementar, con rapidez y conforme a buenas prácticas de la industria, un número telefónico atendido por un Agente de IA, con el fin de que el Cliente tenga la posibilidad de atender llamadas que antes no capturaba, en especial fuera de su horario de atención o cuando su equipo no alcanza a contestar. La obligación de bintell es de medios y no de resultados: consiste en aplicar diligencia profesional razonable, no en garantizar un resultado específico.

3.2. Implementación. bintell procurará dejar el Agente operando en un plazo objetivo de 2 (dos) días hábiles contados desde que el Cliente entregue completa la forma de onboarding, las Credenciales y la información de su negocio. Este plazo es una meta comercial, no un plazo fatal. Los retrasos atribuibles al Cliente o a Proveedores Tecnológicos no cuentan dentro del plazo ni generan responsabilidad.

3.3. Qué incluye. Según el Plan contratado: configuración del Agente con la información que entregue el Cliente; conexión con la línea telefónica y, en su caso, con la plataforma de enrutamiento; en el plan Schedule, conexión con el calendario del Cliente para agendar, reagendar y cancelar citas; ajustes razonables durante la operación; y los bonos vigentes que se describan en la propuesta comercial. Cada Plan incluye la cantidad de minutos de llamada publicada en https://bintell.ai al momento de contratar; el uso adicional se rige por lo publicado en el mismo sitio, y los minutos no usados no se acumulan al siguiente periodo.

3.4. Qué NO se promete. bintell no ofrece garantías de satisfacción, de resultados ni de devolución, y no garantiza, ni expresa ni implícitamente:

  1. Un número mínimo de llamadas contestadas, leads, citas, ventas o ingresos.
  2. Que el Agente conteste el 100% de las llamadas o que funcione sin interrupciones.
  3. Que el Agente entienda, transcriba o responda correctamente en todos los casos.
  4. Que la información que comunique el Agente sea exacta, completa o actual.
  5. Un retorno de inversión o la recuperación del costo de los Servicios.
  6. La disponibilidad continua de los Proveedores Tecnológicos o de las redes de telecomunicaciones.

3.5. El Agente es un respaldo, no un sustituto. El Agente complementa la atención del Cliente; no sustituye a su personal, a su criterio profesional ni a sus canales de emergencia. El Cliente no usará el Agente para atender emergencias médicas, legales o de seguridad, ni para dar diagnósticos, asesoría legal, cotizaciones vinculantes o cualquier información de la que dependa la salud, seguridad o patrimonio de un Llamante.

3.6. Fuera de alcance. No forman parte de los Servicios, salvo acuerdo por escrito con costo adicional: portabilidad o desvío de números existentes del Cliente, configuración de su conmutador o call tracking propio, integraciones distintas a las del Plan, campañas de llamadas salientes, ni la operación de canales distintos a la voz salvo como bono.

3.7. Soporte. bintell responderá las solicitudes de soporte enviadas a carlo@bintell.ai en un plazo máximo de 2 (dos) días hábiles. Este plazo es de respuesta, no de solución. No aplica cuando el retraso se deba a Proveedores Tecnológicos, fuerza mayor u otras causas ajenas a bintell.

Cláusula 4. Naturaleza de la inteligencia artificial y ausencia de garantías

4.1. Reconocimiento del Cliente. El Cliente reconoce y acepta que el Agente funciona con modelos de inteligencia artificial probabilísticos, desarrollados y operados por terceros, y que por su naturaleza:

  1. Pueden generar respuestas inexactas, incompletas, inventadas o fuera de contexto, aun con una configuración correcta.
  2. Pueden entender mal nombres, números, fechas, horarios, acentos, ruido de fondo o señal deficiente.
  3. Pueden agendar, reagendar o cancelar citas de forma incorrecta, duplicada u omitida.
  4. Pueden no transferir una llamada, colgar antes de tiempo o no detectar la intención del Llamante.
  5. Pueden cambiar de comportamiento cuando el proveedor del modelo lo actualiza, sin aviso previo a bintell.

4.2. Servicio "tal cual". Los Servicios se prestan "tal cual" y "según disponibilidad". En la máxima medida permitida por la ley, bintell excluye toda garantía no expresada en estos Términos, incluyendo las de comerciabilidad, idoneidad para un fin particular, exactitud y funcionamiento ininterrumpido o libre de errores.

4.3. Responsabilidad del Cliente sobre lo que dice el Agente. El Agente habla a nombre del Cliente y con la información que el Cliente aprueba. El Cliente es el único responsable de: (a) revisar y aprobar el guion, la base de conocimiento, precios, horarios y políticas que use el Agente; (b) mantenerlos actualizados; (c) revisar periódicamente transcripciones, resúmenes y citas; y (d) confirmar con el Llamante cualquier información relevante antes de actuar sobre ella.

4.4. Sin responsabilidad por errores de la IA. bintell no será responsable por ningún daño, pérdida, queja, cita perdida, cliente perdido o reclamación de un Llamante que derive de una respuesta, omisión, error de comprensión o acción del Agente, siempre que bintell haya configurado el Agente conforme a la información entregada por el Cliente.

4.5. Aviso de revisión. bintell corregirá los errores de configuración que el Cliente le reporte por escrito, dentro de un plazo razonable. Esta corrección es el único remedio del Cliente frente a un error del Agente.

Cláusula 5. Proveedores Tecnológicos de terceros

5.1. Dependencia de terceros. El Cliente reconoce que los Servicios dependen de Proveedores Tecnológicos que bintell no controla, y que los Datos del Cliente se procesan y almacenan en la infraestructura de dichos terceros, que puede ubicarse fuera de México.

5.2. Exclusión de responsabilidad. bintell no será responsable por daños, pérdidas o mal servicio causados por un Proveedor Tecnológico, incluyendo: caídas, latencia, degradación de calidad de voz, llamadas no enrutadas, cambios de precios o de funciones, suspensión de cuentas, bloqueo o pérdida de números telefónicos, errores de sincronización de calendario, pérdida, alteración o exposición de datos, incidentes de seguridad en su infraestructura, o el cierre o discontinuación de su servicio.

5.3. Cuentas del Cliente. Cuando el Cliente use cuentas propias con un Proveedor Tecnológico (por ejemplo, Twilio, CloudTalk, Cal.com o Google Calendar), la relación contractual, la facturación, la seguridad de la cuenta y el cumplimiento de los términos de ese proveedor son responsabilidad exclusiva del Cliente.

5.4. Sustitución de proveedores. bintell puede sustituir, agregar o retirar Proveedores Tecnológicos en cualquier momento para mantener o mejorar los Servicios, procurando no reducir sustancialmente sus funciones esenciales.

5.5. Reclamaciones contra el proveedor. Ante una falla de un Proveedor Tecnológico, bintell hará esfuerzos comercialmente razonables para reportarla y restablecer el servicio. Cualquier compensación que el proveedor otorgue a bintell por esa falla, si la hay, será el único remedio que bintell trasladará al Cliente, en la parte proporcional que le corresponda.

5.6. Fuerza mayor. Ninguna parte será responsable por incumplimientos causados por caso fortuito o fuerza mayor, incluyendo fallas generalizadas de internet, energía o telecomunicaciones, ciberataques a terceros, desastres naturales, actos de autoridad o fallas masivas de Proveedores Tecnológicos. La obligación de pago del Cliente por servicios ya prestados no se suspende por fuerza mayor.

Cláusula 6. Obligaciones del Cliente

El Cliente se obliga a:

  1. Entregar información veraz, completa y actualizada sobre su negocio, servicios, precios, horarios y políticas, y avisar por escrito a bintell de cualquier cambio.
  2. Proporcionar y mantener vigentes las Credenciales necesarias, y responder por la seguridad de sus propias cuentas y contraseñas.
  3. Cumplir con todas las leyes aplicables a su actividad y a sus comunicaciones, incluyendo protección de datos personales, protección al consumidor, telecomunicaciones, grabación de llamadas y, en su caso, las normas de su profesión (salud, legal u otras).
  4. Contar con su propio aviso de privacidad frente a los Llamantes y obtener los consentimientos que exija la ley, incluido el de grabación de llamadas y el aviso de que el Llamante habla con un sistema automatizado.
  5. No instruir al Agente para recabar datos personales sensibles (salud, origen étnico, creencias, vida sexual, datos financieros completos u otros), salvo que el Cliente lo autorice por escrito y asuma la responsabilidad total de su tratamiento. Los Servicios no están diseñados para tratar información de salud sujeta a leyes especiales de protección de datos de salud, y el Cliente no los usará para ello.
  6. No usar los Servicios para fines ilícitos, engañosos, de acoso, spam, suplantación de identidad o para llamar a personas que no hayan dado su consentimiento cuando la ley lo exija.
  7. Revisar periódicamente el desempeño del Agente, las transcripciones y las citas, y reportar errores por escrito.
  8. Mantener canales humanos de atención para casos urgentes o que el Agente no pueda resolver.
  9. Pagar puntualmente los Servicios y los cargos de sus propias cuentas con Proveedores Tecnológicos.

El incumplimiento de cualquiera de estas obligaciones libera a bintell de toda responsabilidad por las consecuencias que deriven de él.

Cláusula 7. Periodo de prueba, precios y pagos

7.1. Periodo de prueba. El Cliente puede iniciar un periodo de prueba de 31 (treinta y un) días naturales desde la plataforma app.bintell.ai, a través del checkout de Stripe, sin registrar tarjeta ni método de pago. La prueba inicia en el momento en que el Cliente la activa en la plataforma. Durante la prueba aplican íntegramente estos Términos, incluida la ausencia de garantías. Al terminar, si el Cliente no ha contratado un Plan ni registrado un método de pago, bintell podrá pausar o desactivar el Agente sin responsabilidad. La prueba aplica una sola vez por Cliente y por negocio.

7.2. Precio y moneda. Todos los precios se expresan y cobran en dólares estadounidenses (USD), para Clientes en México y en cualquier otro país. Los pagos se procesan a través de Stripe. Si el Cliente paga con una tarjeta o cuenta en otra moneda, la conversión la realiza Stripe o el banco emisor con su propio tipo de cambio; las diferencias cambiarias y comisiones bancarias corren por cuenta del Cliente.

7.3. Impuestos. Los precios no incluyen impuestos. El IVA, impuesto sobre ventas o equivalente se agrega por separado, según el país y, en su caso, el estado o provincia del Cliente, y se muestra al momento del cobro. Si la ley del Cliente le obliga a retener algún impuesto, lo hará conforme a esa ley, entregará a bintell el comprobante de retención y responderá por cualquier retención omitida o incorrecta.

7.4. Forma de pago. Los Servicios se pagan por adelantado, de forma mensual o anual, mediante cargo automático recurrente al método de pago registrado en Stripe, que el Cliente autoriza al contratar. El plan anual se cobra en una sola exhibición. Los cargos de terceros que el Cliente contrate directamente (minutos, números, licencias) corren por su cuenta, salvo que el Plan diga lo contrario.

7.5. Sin reembolsos. Fuera de lo previsto en la Cláusula 7.1, los pagos no son reembolsables, total ni parcialmente, incluyendo meses no usados.

7.6. Atraso. Si un cargo es rechazado y no se cubre dentro de los 5 (cinco) días naturales siguientes, bintell podrá suspender el Agente sin responsabilidad. Los adeudos generan un interés moratorio del 2% (dos por ciento) mensual sobre saldos insolutos, más los gastos razonables de cobranza, incluidos honorarios de abogados.

7.7. Cambios de precio. bintell podrá modificar sus precios con aviso por escrito de al menos 30 (treinta) días naturales. El nuevo precio aplica desde el siguiente periodo de cobro. Los planes anuales ya pagados conservan su precio hasta su vencimiento.

7.8. Comprobantes. Stripe emite automáticamente el recibo de cada pago. El Cliente en México que requiera CFDI deberá solicitarlo por escrito dentro del mismo mes calendario del pago, adjuntando su constancia de situación fiscal vigente. Sin solicitud en ese plazo, la operación se incluye en la factura global a público en general y no se refactura.

7.9. Contracargos. Si el Cliente disputa ante su banco o Stripe un cargo por Servicios prestados, bintell podrá suspender los Servicios de inmediato, y el Cliente pagará el monto disputado, las comisiones por disputa y los gastos de recuperación.

7.10. Clientes en Estados Unidos (formulario W-8BEN). bintell es residente fiscal en México, presta los Servicios desde México y no tiene oficina, empleados ni establecimiento permanente en Estados Unidos. A solicitud del Cliente con domicilio en Estados Unidos, bintell le entregará el formulario W-8BEN del Internal Revenue Service (IRS) para acreditar su condición de persona extranjera. El Cliente reconoce que los pagos corresponden a servicios prestados fuera de Estados Unidos y, con base en ese formulario, no retendrá impuestos estadounidenses sobre ellos ni emitirá formularios 1099 a bintell. Si el Cliente considera que la ley lo obliga a retener, aplicará lo previsto en la Cláusula 7.3 y avisará a bintell por escrito antes de hacerlo.

Cláusula 8. Limitación de responsabilidad

8.1. Daños excluidos. En ningún caso bintell será responsable por lucro cesante, pérdida de ingresos, de clientes, de citas o de oportunidades de negocio, daño a la reputación, pérdida o corrupción de datos, ni por daños indirectos, incidentales, especiales, consecuenciales o punitivos, aun si fue advertido de su posibilidad.

8.2. Tope máximo. La responsabilidad total y acumulada de bintell, por cualquier causa relacionada con los Servicios, se limita al equivalente a 1 (una) mensualidad efectivamente pagada por el Cliente por su Plan, vigente al momento del hecho que origine la reclamación (en planes anuales, el pago anual dividido entre 12). Este tope es una estimación anticipada y convenida de los daños y perjuicios, y el Cliente acepta que el precio de los Servicios se fijó considerando esta limitación.

8.3. Plazo para reclamar. Cualquier reclamación del Cliente contra bintell deberá notificarse por escrito dentro de los 30 (treinta) días naturales siguientes a que el Cliente conozca el hecho, y antes de ejercer cualquier acción judicial. Pasado ese plazo, el Cliente acepta que el servicio se tuvo por recibido a su satisfacción en ese periodo.

8.4. Límite legal. Las limitaciones de esta cláusula aplican en la máxima medida permitida por la ley y no excluyen la responsabilidad que por disposición legal no pueda excluirse, como la derivada de dolo.

Cláusula 9. Indemnización, gastos y honorarios legales

9.1. Indemnización por reclamos de terceros. El Cliente indemnizará, defenderá y sacará en paz y a salvo a bintell, y a Carlo Iván Cabrera Arvizu en lo personal, de cualquier reclamación, demanda, queja, procedimiento, multa o sanción presentada por un tercero, incluidos Llamantes, pacientes, clientes del Cliente, autoridades de protección de datos o de protección al consumidor y Proveedores Tecnológicos, que derive de: (a) el uso que el Cliente haga de los Servicios; (b) la información, guiones o instrucciones que el Cliente entregue o apruebe; (c) el incumplimiento por el Cliente de estos Términos o de la ley; o (d) el tratamiento de datos de Llamantes, del cual el Cliente es responsable. La indemnización cubre daños, multas, montos de condena o de convenio, costas y honorarios razonables de abogados y peritos, y demás gastos necesarios para la defensa.

9.2. Honorarios si el Cliente demanda y no prevalece. Si el Cliente inicia cualquier procedimiento judicial, arbitral o administrativo contra bintell y no obtiene resolución favorable en lo principal, o se desiste, el Cliente pagará a bintell todos los gastos y costas, incluidos los honorarios de los abogados y peritos de bintell, viajes y demás erogaciones razonables necesarias para su defensa, además de las costas que determine la autoridad. Este pago se pacta como pena convencional en términos del artículo 1840 del Código Civil Federal y no requiere prueba de daño adicional.

9.3. Reclamaciones improcedentes. Lo anterior aplica también a acciones o excepciones notoriamente improcedentes, conforme al artículo 1084 del Código de Comercio.

9.4. Cobranza. Si bintell debe ejercer acciones para cobrar adeudos del Cliente, el Cliente pagará los honorarios y gastos de cobranza judicial y extrajudicial.

9.5. Responsabilidad personal limitada. El Cliente reconoce que bintell es el nombre comercial con el que opera su titular, y que ninguna reclamación podrá exceder los límites de la Cláusula 8 por el hecho de que el Prestador sea persona física.

9.6. Llamadas a terceros y consentimiento. Toda llamada que el Agente realice o conteste se hace por cuenta, en nombre y por instrucción del Cliente, quien es el único emisor de esas comunicaciones; bintell actúa solo como proveedor de la tecnología. El Cliente declara y garantiza que, respecto de cada número al que el Agente llame (incluidos recordatorios de citas, devoluciones de llamada y cualquier otra llamada saliente): (a) obtuvo previamente del titular el consentimiento que exija la ley del lugar donde este se encuentre para recibir llamadas con voz artificial o generada por inteligencia artificial, incluyendo, en su caso, la Telephone Consumer Protection Act (TCPA) de Estados Unidos y las leyes estatales equivalentes; (b) conserva la constancia de ese consentimiento y la entregará a bintell dentro de los 5 (cinco) días hábiles siguientes a que se la solicite; y (c) respeta las solicitudes de no ser contactado y los registros de exclusión aplicables (como el Registro Público para Evitar Publicidad en México o el National Do Not Call Registry en Estados Unidos), y retira de inmediato esos números. Las reclamaciones de terceros que deriven de estas llamadas, incluidas acciones colectivas e indemnizaciones o multas fijadas por llamada, quedan comprendidas en la Cláusula 9.1, y el Cliente cubrirá los gastos de defensa de bintell desde la primera notificación. La obligación de indemnizar del Cliente no está sujeta a los límites de la Cláusula 8, que aplican solo a la responsabilidad de bintell. bintell podrá suspender las llamadas salientes, sin responsabilidad, mientras el Cliente no acredite el consentimiento.

Cláusula 10. Vigencia y terminación

10.1. Vigencia. Los Servicios se contratan por periodos mensuales o anuales que se renuevan automáticamente por periodos iguales, salvo aviso de no renovación por escrito con al menos 15 (quince) días naturales antes del fin del periodo en curso. El plan anual se paga por adelantado y cubre los 12 meses completos; si el Cliente cancela antes, el Agente sigue activo hasta el fin del periodo pagado y no hay reembolso de meses no usados.

10.2. Terminación por bintell. bintell podrá suspender o terminar los Servicios de inmediato, sin responsabilidad, si el Cliente: no paga en tiempo; incumple la Cláusula 6; usa los Servicios para fines ilícitos o que pongan en riesgo a bintell o a sus Proveedores Tecnológicos; o si un Proveedor Tecnológico suspende la cuenta por causa atribuible al Cliente. bintell también podrá terminar sin causa con aviso de 30 (treinta) días naturales, reembolsando solo la parte proporcional de un plan anual no devengado.

10.3. Efectos. Al terminar, el Agente se desactiva. El Cliente podrá solicitar la exportación de los Datos del Cliente dentro de los 30 (treinta) días naturales siguientes. Las grabaciones y transcripciones pueden permanecer en los sistemas de los Proveedores Tecnológicos hasta que el Cliente solicite por escrito su eliminación; bintell no responde por su conservación ni por su pérdida después de ese plazo.

10.4. Portabilidad. Si el Cliente está al corriente en sus pagos, podrá solicitar al terminar una exportación de sus grabaciones, transcripciones y citas disponibles, y la configuración funcional de su Agente (información del negocio y flujo de atención). Los números telefónicos y cuentas que estén a nombre del Cliente permanecen suyos.

Cláusula 11. Propiedad intelectual

11.1. El Cliente conserva la titularidad de sus marcas, contenidos y Datos del Cliente, y otorga a bintell una licencia no exclusiva y gratuita para usarlos solo en la medida necesaria para prestar los Servicios.

11.2. bintell conserva la titularidad de sus metodologías, plantillas, prompts base, flujos, procesos, documentación y conocimiento técnico, incluidas las mejoras desarrolladas durante la prestación de los Servicios, salvo los Datos del Cliente.

11.3. bintell podrá usar el nombre y logotipo del Cliente como referencia comercial, salvo que el Cliente se oponga por escrito. bintell podrá usar métricas agregadas y anonimizadas, que no identifiquen al Cliente ni a ningún Llamante, para mejorar sus servicios.

Cláusula 12. Identificación del Prestador

12.1. bintell es el nombre comercial con el que opera Carlo Iván Cabrera Arvizu, persona física con actividad empresarial, que tributa en el Régimen Simplificado de Confianza, con RFC CAAC000714N35 y domicilio fiscal en Paraíso 145, San Pedro Residencial, C.P. 21254, Mexicali, Baja California, México.

12.2. Toda referencia a "bintell" o al "Prestador" en estos Términos se entiende hecha a dicha persona. bintell podrá ceder su posición a una persona moral conforme a la Cláusula 14.4.

Cláusula 13. Confidencialidad

Cada parte mantendrá confidencial la información no pública de la otra y la usará solo para cumplir estos Términos. No es confidencial la información que sea pública, que ya se conociera legítimamente o que deba revelarse por orden de autoridad. Esta obligación subsiste 2 (dos) años después de terminada la relación.

Cláusula 14. Disposiciones generales

14.1. Modificaciones. bintell podrá modificar estos Términos publicando la nueva versión en su sitio web y avisándolo por correo electrónico con 15 (quince) días naturales de anticipación. Si el Cliente sigue usando los Servicios después de esa fecha, acepta la nueva versión.

14.2. Notificaciones. Las notificaciones se harán por correo electrónico: a bintell en carlo@bintell.ai y al Cliente en el correo registrado en el onboarding. Surten efecto el día hábil siguiente a su envío.

14.3. Relación entre las partes. Las partes son independientes. Nada en estos Términos crea sociedad, relación laboral, mandato ni representación.

14.4. Cesión. El Cliente no puede ceder estos Términos sin consentimiento escrito de bintell. bintell podrá cederlos a una persona moral que él mismo constituya o controle, o a quien adquiera el negocio, con aviso al Cliente.

14.5. Divisibilidad. Si alguna disposición es declarada nula o inaplicable, se ajustará al mínimo necesario para hacerla válida y el resto seguirá en vigor.

14.6. Supervivencia. Las Cláusulas 4, 5, 7.3, 7.6, 7.9, 8, 9, 11, 13 y 15 subsisten después de la terminación.

14.7. Acuerdo completo. Estos Términos, el Aviso de Privacidad, el Anexo de Tratamiento de Datos y, en su caso, la orden de servicio, son el acuerdo completo entre las partes y sustituyen cualquier oferta, correo o conversación previa.

14.8. Idioma. Estos Términos se otorgan en español. Si existe una traducción, prevalece la versión en español.

Cláusula 15. Ley aplicable y jurisdicción

15.1. Estos Términos se rigen por las leyes federales de los Estados Unidos Mexicanos, sin importar el país de residencia del Cliente ni las reglas de conflicto de leyes.

15.2. Para cualquier controversia, las partes se someten expresamente a los tribunales competentes de la ciudad de Mexicali, Baja California, México, y renuncian a cualquier otro fuero que pudiera corresponderles por razón de su domicilio presente o futuro o por cualquier otra causa.

15.3. Antes de iniciar cualquier procedimiento, la parte reclamante deberá notificar por escrito su inconformidad y las partes intentarán resolverla de buena fe durante 30 (treinta) días naturales.

Anexo A. Acuerdo de tratamiento de datos de Llamantes

Este Anexo forma parte de los Términos y regula los datos de Llamantes que bintell trata por cuenta del Cliente.

  1. Roles. El Cliente es el responsable de los datos de sus Llamantes y bintell es su encargado. bintell trata esos datos solo para prestar los Servicios y conforme a las instrucciones documentadas del Cliente, que son estos Términos y la configuración aprobada del Agente.
  2. Obligaciones del Cliente como responsable. Tener aviso de privacidad propio y ponerlo a disposición de los Llamantes; avisar al inicio de la llamada que es atendida por un sistema automatizado y que puede ser grabada; obtener los consentimientos que exija la ley de su jurisdicción, incluidas leyes extranjeras que exijan el consentimiento de todas las partes para grabar; y atender directamente las solicitudes de derechos de los Llamantes.
  3. Datos que trata el Agente. Por defecto: nombre, teléfono, motivo general de la llamada, fecha y hora de cita, grabación, transcripción y resumen. Cualquier otro dato, en especial datos sensibles, solo se recaba si el Cliente lo instruye por escrito y bajo su exclusiva responsabilidad.
  4. Subencargados. El Cliente autoriza a bintell a usar a los Proveedores Tecnológicos como subencargados, incluso fuera de México. bintell procurará usar proveedores con compromisos de confidencialidad y seguridad, pero no responde por su actuación conforme a la Cláusula 5.
  5. Confidencialidad y seguridad. bintell limita el acceso a los datos a las personas que lo necesitan para prestar los Servicios y aplica medidas razonables de seguridad en las cuentas bajo su control.
  6. Vulneraciones. Si bintell conoce una vulneración de seguridad que afecte datos de Llamantes, avisará al Cliente sin demora injustificada con la información disponible. Notificar a los Llamantes y a la autoridad corresponde al Cliente como responsable.
  7. Solicitudes de Llamantes. Si un Llamante contacta a bintell, bintell remitirá la solicitud al Cliente sin responderla directamente, salvo instrucción del Cliente.
  8. Conservación y devolución. Las grabaciones y transcripciones se conservan de forma indefinida en los sistemas de los Proveedores Tecnológicos, salvo que el Cliente solicite por escrito su eliminación. El Cliente, como responsable, decide si ese plazo es adecuado y lo informa en su propio aviso de privacidad.
  9. Responsabilidad. El Cliente responde frente a los Llamantes y a cualquier autoridad por el tratamiento de sus datos y por cualquier instrucción que dé a bintell, con la indemnización prevista en la Cláusula 9.1.

Clause 1. Parties and acceptance

1.1. These Terms and Conditions (the "Terms") govern the relationship between bintell ("bintell" or the "Provider"), identified in Clause 12, and the individual or legal entity that contracts the Services (the "Client").

1.2. The Client accepts these Terms upon any of the following: checking the acceptance box on app.bintell.ai or in the onboarding form, signing a service order or proposal that incorporates them, making the first payment, or using the Services. The parties acknowledge that acceptance by electronic means is fully valid under Articles 89 to 114 of the Mexican Commercial Code (Código de Comercio) and Article 1803 of the Mexican Federal Civil Code (Código Civil Federal).

1.3. Anyone accepting on behalf of a company represents that they have sufficient authority to bind it. If they do not, they are personally liable.

1.4. The Client represents that it contracts the Services to integrate them into its commercial or professional activity, and not as an end consumer.

1.5. If a signed service order or proposal exists, it prevails over these Terms only where it expressly contradicts them. In all other respects, these Terms apply.

Clause 2. Definitions

  • Services: the configuration, implementation and operation of artificial intelligence voice agents described in Clause 3 and in the contracted plan.
  • Agent: the artificial intelligence system that answers, converses, schedules or transfers calls on behalf of the Client.
  • Plan: the contracted package (for example, Backup or Schedule) with its price and scope.
  • Technology Providers: the third parties whose infrastructure bintell or the Client uses to provide or receive the Services, including, without limitation, Retell AI, Twilio, CloudTalk, Cal.com, Google, Meta, and providers of language models, voice synthesis and recognition, hosting and telecommunications.
  • Callers: the people who call or receive calls from the Agent; they are customers or prospects of the Client, not of bintell.
  • Client Data: the information the Client provides or that is generated by operating the Agent, including recordings, transcripts, summaries, appointments and Caller data.
  • Credentials: accounts, API keys, identifiers (such as the Twilio Account SID) and access that the Client provides.
  • Implementation: the initial launch of the Agent, including the kickoff meeting.

Clause 3. Purpose and scope of the Services

3.1. The only thing bintell undertakes to deliver. bintell undertakes to implement, quickly and in accordance with industry good practices, a phone number answered by an AI Agent, so that the Client has the ability to handle calls it previously did not capture, especially outside business hours or when its team cannot answer. bintell's obligation is one of means, not of results: it consists of applying reasonable professional diligence, not of guaranteeing a specific result.

3.2. Implementation. bintell will endeavor to have the Agent operating within a target of 2 (two) business days from the date the Client submits the completed onboarding form, the Credentials and its business information. This timeframe is a commercial goal, not a binding deadline. Delays attributable to the Client or to Technology Providers do not count toward it and create no liability.

3.3. What is included. Depending on the contracted Plan: configuration of the Agent with the information provided by the Client; connection to the phone line and, where applicable, to the routing platform; on the Schedule plan, connection to the Client's calendar to book, reschedule and cancel appointments; reasonable adjustments during operation; and any current bonuses described in the commercial proposal. Each Plan includes the number of call minutes published at https://bintell.ai at the time of contracting; additional usage is governed by what is published on the same site, and unused minutes do not roll over to the next period.

3.4. What is NOT promised. bintell offers no satisfaction, results or money-back guarantees, and does not guarantee, either expressly or implicitly:

  1. A minimum number of answered calls, leads, appointments, sales or revenue.
  2. That the Agent will answer 100% of calls or operate without interruption.
  3. That the Agent will understand, transcribe or respond correctly in every case.
  4. That the information the Agent communicates is accurate, complete or current.
  5. A return on investment or recovery of the cost of the Services.
  6. The continuous availability of Technology Providers or telecommunications networks.

3.5. The Agent is a backup, not a replacement. The Agent complements the Client's customer service; it does not replace its staff, its professional judgment or its emergency channels. The Client will not use the Agent to handle medical, legal or safety emergencies, or to provide diagnoses, legal advice, binding quotes or any information on which a Caller's health, safety or property depends.

3.6. Out of scope. The following are not part of the Services unless agreed in writing at additional cost: porting or forwarding the Client's existing numbers, configuring its own phone system or call tracking, integrations other than those in the Plan, outbound calling campaigns, or operating channels other than voice except as a bonus.

3.7. Support. bintell will respond to support requests sent to carlo@bintell.ai within a maximum of 2 (two) business days. This is a response time, not a resolution time. It does not apply when the delay is due to Technology Providers, force majeure or other causes beyond bintell's control.

Clause 4. Nature of artificial intelligence and disclaimer of warranties

4.1. Client acknowledgment. The Client acknowledges and accepts that the Agent runs on probabilistic artificial intelligence models developed and operated by third parties, and that by their nature they:

  1. May generate inaccurate, incomplete, fabricated or out-of-context responses, even when correctly configured.
  2. May misunderstand names, numbers, dates, times, accents, background noise or poor signal.
  3. May book, reschedule or cancel appointments incorrectly, in duplicate, or not at all.
  4. May fail to transfer a call, hang up early or fail to detect the Caller's intent.
  5. May change behavior when the model provider updates it, without prior notice to bintell.

4.2. "As is" service. The Services are provided "as is" and "as available." To the maximum extent permitted by law, bintell disclaims any warranty not expressly stated in these Terms, including warranties of merchantability, fitness for a particular purpose, accuracy, and uninterrupted or error-free operation.

4.3. Client responsibility for what the Agent says. The Agent speaks on behalf of the Client using information the Client approves. The Client is solely responsible for: (a) reviewing and approving the script, knowledge base, prices, hours and policies the Agent uses; (b) keeping them up to date; (c) periodically reviewing transcripts, summaries and appointments; and (d) confirming any relevant information with the Caller before acting on it.

4.4. No liability for AI errors. bintell will not be liable for any damage, loss, complaint, missed appointment, lost customer or Caller claim arising from a response, omission, misunderstanding or action of the Agent, provided bintell configured the Agent according to the information supplied by the Client.

4.5. Correction remedy. bintell will correct configuration errors that the Client reports in writing, within a reasonable time. This correction is the Client's sole remedy for an Agent error.

Clause 5. Third-party Technology Providers

5.1. Reliance on third parties. The Client acknowledges that the Services depend on Technology Providers that bintell does not control, and that Client Data is processed and stored on those third parties' infrastructure, which may be located outside Mexico.

5.2. Exclusion of liability. bintell will not be liable for damages, losses or poor service caused by a Technology Provider, including: outages, latency, degraded voice quality, unrouted calls, changes in pricing or features, account suspensions, blocking or loss of phone numbers, calendar sync errors, loss, alteration or exposure of data, security incidents on their infrastructure, or the shutdown or discontinuation of their service.

5.3. Client accounts. When the Client uses its own accounts with a Technology Provider (for example, Twilio, CloudTalk, Cal.com or Google Calendar), the contractual relationship, billing, account security and compliance with that provider's terms are the Client's sole responsibility.

5.4. Replacement of providers. bintell may replace, add or remove Technology Providers at any time to maintain or improve the Services, endeavoring not to substantially reduce their essential functions.

5.5. Claims against the provider. In the event of a Technology Provider failure, bintell will make commercially reasonable efforts to report it and restore service. Any compensation the provider grants bintell for that failure, if any, will be the only remedy bintell passes on to the Client, in the proportional part that corresponds to it.

5.6. Force majeure. Neither party will be liable for failures caused by acts of God or force majeure, including widespread internet, power or telecommunications outages, cyberattacks on third parties, natural disasters, government actions or massive Technology Provider failures. The Client's obligation to pay for services already rendered is not suspended by force majeure.

Clause 6. Client obligations

The Client agrees to:

  1. Provide truthful, complete and up-to-date information about its business, services, prices, hours and policies, and notify bintell in writing of any change.
  2. Provide and keep current the necessary Credentials, and be responsible for the security of its own accounts and passwords.
  3. Comply with all laws applicable to its activity and communications, including data protection, consumer protection, telecommunications, call recording and, where applicable, the rules of its profession (health, legal or others).
  4. Maintain its own privacy notice for Callers and obtain the consents required by law, including consent to call recording and notice that the Caller is speaking with an automated system.
  5. Not instruct the Agent to collect sensitive personal data (health, ethnic origin, beliefs, sex life, full financial data or similar), unless the Client authorizes it in writing and assumes full responsibility for its processing. The Services are not designed to process health information subject to special health-data protection laws, and the Client will not use them for that purpose.
  6. Not use the Services for unlawful, deceptive, harassing, spam or impersonation purposes, or to call people who have not given their consent where the law requires it.
  7. Periodically review the Agent's performance, transcripts and appointments, and report errors in writing.
  8. Maintain human service channels for urgent cases or cases the Agent cannot resolve.
  9. Pay for the Services and the charges of its own Technology Provider accounts on time.

Breach of any of these obligations releases bintell from all liability for the consequences arising from it.

Clause 7. Trial period, prices and payments

7.1. Trial period. The Client may start a 31 (thirty-one) calendar-day trial period on the app.bintell.ai platform, through the Stripe checkout, without registering a card or payment method. The trial begins when the Client activates it on the platform. These Terms apply in full during the trial, including the absence of warranties. When it ends, if the Client has not contracted a Plan or registered a payment method, bintell may pause or deactivate the Agent without liability. The trial applies only once per Client and per business.

7.2. Price and currency. All prices are stated and charged in U.S. dollars (USD), for Clients in Mexico and in any other country. Payments are processed through Stripe. If the Client pays with a card or account in another currency, the conversion is made by Stripe or the issuing bank at its own exchange rate; exchange differences and bank fees are borne by the Client.

7.3. Taxes. Prices do not include taxes. VAT, sales tax or equivalent is added separately according to the Client's country and, where applicable, state or province, and is shown at checkout. If the Client's law requires it to withhold any tax, it will do so in accordance with that law, provide bintell with the withholding receipt, and be liable for any omitted or incorrect withholding.

7.4. Payment method. The Services are paid in advance, monthly or annually, by recurring automatic charge to the payment method registered in Stripe, which the Client authorizes when contracting. The annual plan is charged in a single payment. Third-party charges that the Client contracts directly (minutes, numbers, licenses) are its responsibility, unless the Plan states otherwise.

7.5. No refunds. Except as provided in Clause 7.1, payments are non-refundable, in whole or in part, including unused months.

7.6. Late payment. If a charge is declined and not covered within the following 5 (five) calendar days, bintell may suspend the Agent without liability. Outstanding amounts accrue late interest of 2% (two percent) per month on unpaid balances, plus reasonable collection costs, including attorneys' fees.

7.7. Price changes. bintell may change its prices with at least 30 (thirty) calendar days' written notice. The new price applies from the next billing period. Annual plans already paid keep their price until they expire.

7.8. Receipts. Stripe automatically issues a receipt for each payment. A Client in Mexico who requires a CFDI (Mexican electronic tax invoice) must request it in writing within the same calendar month as the payment, attaching its current tax status certificate (constancia de situación fiscal). Without a request within that period, the transaction is included in the global invoice to the general public and will not be reissued.

7.9. Chargebacks. If the Client disputes a charge for Services rendered with its bank or Stripe, bintell may suspend the Services immediately, and the Client will pay the disputed amount, dispute fees and recovery costs.

7.10. Clients in the United States (Form W-8BEN). bintell is a tax resident of Mexico, provides the Services from Mexico and has no office, employees or permanent establishment in the United States. At the request of a Client located in the United States, bintell will provide Internal Revenue Service (IRS) Form W-8BEN to certify its status as a foreign person. The Client acknowledges that the payments are for services performed outside the United States and, on the basis of that form, will not withhold U.S. taxes on them or issue Forms 1099 to bintell. If the Client believes the law requires it to withhold, Clause 7.3 will apply and the Client will notify bintell in writing before doing so.

Clause 8. Limitation of liability

8.1. Excluded damages. In no event will bintell be liable for lost profits, lost revenue, customers, appointments or business opportunities, reputational harm, loss or corruption of data, or for indirect, incidental, special, consequential or punitive damages, even if advised of their possibility.

8.2. Liability cap. bintell's total, cumulative liability for any cause related to the Services is limited to the equivalent of 1 (one) monthly fee actually paid by the Client for its Plan in effect at the time of the event giving rise to the claim (for annual plans, the annual payment divided by 12). This cap is an agreed, advance estimate of damages, and the Client accepts that the price of the Services was set taking this limitation into account.

8.3. Time to claim. Any claim by the Client against bintell must be notified in writing within 30 (thirty) calendar days after the Client becomes aware of the event, and before bringing any legal action. After that period, the Client accepts that the service for that period was received to its satisfaction.

8.4. Legal limit. The limitations in this clause apply to the maximum extent permitted by law and do not exclude liability that cannot be excluded by law, such as liability for willful misconduct (dolo).

Clause 9. Indemnification, costs and attorneys' fees

9.1. Indemnification for third-party claims. The Client will indemnify, defend and hold harmless bintell, and Carlo Iván Cabrera Arvizu personally, from any claim, lawsuit, complaint, proceeding, fine or penalty brought by a third party, including Callers, patients, the Client's customers, data protection or consumer protection authorities and Technology Providers, arising from: (a) the Client's use of the Services; (b) the information, scripts or instructions the Client provides or approves; (c) the Client's breach of these Terms or the law; or (d) the processing of Caller data, for which the Client is responsible. The indemnity covers damages, fines, judgment or settlement amounts, costs, reasonable attorneys' and experts' fees, and other expenses necessary for the defense.

9.2. Fees if the Client sues and does not prevail. If the Client brings any judicial, arbitral or administrative proceeding against bintell and does not obtain a favorable ruling on the merits, or withdraws it, the Client will pay bintell all costs and expenses, including bintell's attorneys' and experts' fees, travel and other reasonable expenses necessary for its defense, in addition to any costs set by the authority. This payment is agreed as a contractual penalty (pena convencional) under Article 1840 of the Mexican Federal Civil Code and requires no proof of additional damage.

9.3. Groundless claims. The foregoing also applies to actions or defenses that are clearly groundless, under Article 1084 of the Mexican Commercial Code.

9.4. Collection. If bintell must take action to collect amounts owed by the Client, the Client will pay judicial and extrajudicial collection fees and costs.

9.5. Limited personal liability. The Client acknowledges that bintell is the trade name under which its owner operates, and that no claim may exceed the limits of Clause 8 because the Provider is an individual.

9.6. Calls to third parties and consent. Every call the Agent places or answers is made on behalf of, in the name of and at the direction of the Client, who is the sole sender of those communications; bintell acts only as the technology provider. The Client represents and warrants that, for each number the Agent calls (including appointment reminders, callbacks and any other outbound call): (a) it has previously obtained from the called party the consent required by the law of the place where that person is located to receive calls using an artificial or AI-generated voice, including, where applicable, the U.S. Telephone Consumer Protection Act (TCPA) and equivalent state laws; (b) it keeps a record of that consent and will deliver it to bintell within 5 (five) business days of a request; and (c) it honors do-not-contact requests and the applicable exclusion registries (such as the Registro Público para Evitar Publicidad in Mexico or the National Do Not Call Registry in the United States), and removes those numbers immediately. Third-party claims arising from these calls, including class actions and damages or fines assessed per call, fall within Clause 9.1, and the Client will cover bintell's defense costs from the first notice. The Client's indemnification obligation is not subject to the limits of Clause 8, which apply only to bintell's liability. bintell may suspend outbound calls, without liability, for as long as the Client does not prove consent.

Clause 10. Term and termination

10.1. Term. The Services are contracted for monthly or annual periods that renew automatically for equal periods, unless written notice of non-renewal is given at least 15 (fifteen) calendar days before the end of the current period. The annual plan is paid in advance and covers the full 12 months; if the Client cancels early, the Agent remains active until the end of the paid period and unused months are not refunded.

10.2. Termination by bintell. bintell may suspend or terminate the Services immediately, without liability, if the Client: fails to pay on time; breaches Clause 6; uses the Services for unlawful purposes or in a way that puts bintell or its Technology Providers at risk; or if a Technology Provider suspends the account for a reason attributable to the Client. bintell may also terminate without cause with 30 (thirty) calendar days' notice, refunding only the proportional unearned part of an annual plan.

10.3. Effects. Upon termination, the Agent is deactivated. The Client may request an export of Client Data within the following 30 (thirty) calendar days. Recordings and transcripts may remain on Technology Providers' systems until the Client requests their deletion in writing; bintell is not responsible for their retention or loss after that period.

10.4. Portability. If the Client's payments are current, it may request upon termination an export of its available recordings, transcripts and appointments, and the functional configuration of its Agent (business information and call flow). Phone numbers and accounts in the Client's name remain the Client's.

Clause 11. Intellectual property

11.1. The Client retains ownership of its trademarks, content and Client Data, and grants bintell a non-exclusive, royalty-free license to use them only to the extent necessary to provide the Services.

11.2. bintell retains ownership of its methodologies, templates, base prompts, flows, processes, documentation and know-how, including improvements developed while providing the Services, excluding Client Data.

11.3. bintell may use the Client's name and logo as a commercial reference, unless the Client objects in writing. bintell may use aggregated, anonymized metrics that do not identify the Client or any Caller to improve its services.

Clause 12. Identification of the Provider

12.1. bintell is the trade name under which Carlo Iván Cabrera Arvizu operates, an individual engaged in business activity, taxed under Mexico's Simplified Trust Regime (Régimen Simplificado de Confianza), with Mexican tax ID (RFC) CAAC000714N35 and tax address at Paraíso 145, San Pedro Residencial, ZIP 21254, Mexicali, Baja California, Mexico.

12.2. Every reference to "bintell" or the "Provider" in these Terms refers to that person. bintell may assign its position to a legal entity under Clause 14.4.

Clause 13. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform these Terms. Information that is public, was already lawfully known, or must be disclosed by order of an authority is not confidential. This obligation survives for 2 (two) years after the relationship ends.

Clause 14. General provisions

14.1. Amendments. bintell may amend these Terms by publishing the new version on its website and giving 15 (fifteen) calendar days' notice by email. If the Client continues to use the Services after that date, it accepts the new version.

14.2. Notices. Notices will be given by email: to bintell at carlo@bintell.ai and to the Client at the email registered during onboarding. They take effect on the business day following their sending.

14.3. Relationship of the parties. The parties are independent. Nothing in these Terms creates a partnership, employment relationship, agency or representation.

14.4. Assignment. The Client may not assign these Terms without bintell's written consent. bintell may assign them to a legal entity it forms or controls, or to whoever acquires the business, with notice to the Client.

14.5. Severability. If any provision is held void or unenforceable, it will be adjusted to the minimum extent necessary to make it valid and the rest will remain in force.

14.6. Survival. Clauses 4, 5, 7.3, 7.6, 7.9, 8, 9, 11, 13 and 15 survive termination.

14.7. Entire agreement. These Terms, the Privacy Policy, the Data Processing Annex and, where applicable, the service order are the entire agreement between the parties and supersede any prior offer, email or conversation.

14.8. Language. These Terms are executed in Spanish. If a translation exists, the Spanish version prevails.

Clause 15. Governing law and jurisdiction

15.1. These Terms are governed by the federal laws of the United Mexican States, regardless of the Client's country of residence or conflict-of-laws rules.

15.2. For any dispute, the parties expressly submit to the competent courts of the city of Mexicali, Baja California, Mexico, and waive any other jurisdiction that may correspond to them by reason of their present or future domicile or for any other reason.

15.3. Before starting any proceeding, the claiming party must give written notice of its complaint, and the parties will attempt to resolve it in good faith for 30 (thirty) calendar days.

Annex A. Caller Data Processing Agreement

This Annex is part of the Terms and governs the Caller data that bintell processes on behalf of the Client.

  1. Roles. The Client is the data controller (responsable) for its Callers' data and bintell is its data processor (encargado). bintell processes that data only to provide the Services and according to the Client's documented instructions, which are these Terms and the approved Agent configuration.
  2. Client obligations as controller. Maintain its own privacy notice and make it available to Callers; notify at the start of the call that it is answered by an automated system and may be recorded; obtain the consents required by the law of its jurisdiction, including foreign laws that require all-party consent to record; and handle Callers' rights requests directly.
  3. Data the Agent processes. By default: name, phone number, general reason for the call, appointment date and time, recording, transcript and summary. Any other data, especially sensitive data, is collected only if the Client instructs it in writing and under its sole responsibility.
  4. Sub-processors. The Client authorizes bintell to use Technology Providers as sub-processors, including outside Mexico. bintell will endeavor to use providers with confidentiality and security commitments, but is not responsible for their conduct under Clause 5.
  5. Confidentiality and security. bintell limits access to the data to people who need it to provide the Services and applies reasonable security measures to the accounts under its control.
  6. Breaches. If bintell becomes aware of a security breach affecting Caller data, it will notify the Client without undue delay with the information available. Notifying Callers and authorities is the Client's responsibility as controller.
  7. Caller requests. If a Caller contacts bintell, bintell will forward the request to the Client without responding directly, unless the Client instructs otherwise.
  8. Retention and return. Recordings and transcripts are retained indefinitely on Technology Providers' systems unless the Client requests their deletion in writing. The Client, as controller, decides whether that period is appropriate and discloses it in its own privacy notice.
  9. Liability. The Client is liable to Callers and to any authority for the processing of their data and for any instruction it gives bintell, with the indemnity provided in Clause 9.1.
